Welcome to Loonis! These Terms of Service ("Terms") govern your access to and use of Loonis's websites ("Sites") and digital services ("Services"). Please read them carefully before using our Sites or Services.

1. Introduction

1.1 Scope

These Terms apply to all users of our Sites and Services, including those located at loonis.co and loonis.studio. By using our Services, you agree to these Terms, our Privacy Policy, and our Template File Terms of Use.

1.2 Legal Binding

By accessing or using our Services, you represent that you are legally capable of entering into a binding agreement and accept these Terms. If you are using our Services on behalf of an organization, you represent you have authority to bind that entity.

1.3 Company Information

Loonis is operated by Loonis | Karyna Movsha Sole Proprietorship (Jednoosobowa działalność gospodarcza) based in Poland and registered under Polish law.

2. Eligibility

Our Services are available to users aged 13 and over. If you are under 18 or the age of majority in your jurisdiction, your use must be supervised by a parent or legal guardian.

You represent and warrant that you meet all applicable eligibility requirements and that your use does not violate any applicable law or regulation.

3. Your Responsibilities

3.1 Use of Software

You may access downloadable software components related to our Services. Unless stated otherwise in a separate license agreement, we grant you a non-exclusive, non-transferable, revocable license to use such software strictly for your personal or internal business use.

You may not:

Reverse engineer, decompile, or disassemble the software;
Modify, distribute, or reproduce the software;
Transfer your license rights to another party.

The software may update automatically without prior notice to you.

4. Third-Party Services

Our Services may integrate with third-party services. We are not responsible for their performance or compliance. Your use of such services is governed solely by their respective terms and policies.

We do not endorse or warrant third-party websites and are not responsible for any damages or losses resulting from your access or use of them.

5. Intellectual Property

All content, code, and designs on the Sites, including trademarks and proprietary elements ("Loonis IP"), are protected by intellectual property laws and remain our exclusive property or the property of our licensors.

You may not copy, distribute, modify, or create derivative works from Loonis IP unless explicitly permitted.

6. Template Shop

You may browse, purchase, and use digital design templates ("Template Files"). By purchasing a Template File listed on Loonis’s Template Shop, or via one of our payment-processing providers such as Lemon Squeezy LLC, you agree to adhere to our Template File Terms of Use.

Templates are sold under a single-use license and may not be resold or reused for other clients or projects without additional licenses.

7. Pricing & Payments

We reserve the right to change pricing at any time. Prices are listed in USD or EUR and may be subject to VAT. You are responsible for any currency conversion fees.

8. Privacy & Data Protection

We are committed to protecting your privacy. Our Privacy Policy outlines how we collect, use, and store your personal data.

8.1 GDPR Compliance

If you are located in the EU/EEA, including Poland, you have rights under the General Data Protection Regulation (GDPR), including:

The right to access your data;
The right to correct or delete personal data;
The right to data portability;
The right to restrict or object to data processing;
The right to file a complaint with your local data protection authority.

By using our Services, you acknowledge that we may process your data outside the EEA (e.g., on servers in the U.S.). We ensure such transfers comply with GDPR by relying on standard contractual clauses or other safeguards.

9. Confidentiality

You agree not to disclose Loonis's confidential information to any third party without our prior written consent. Confidentiality obligations remain in effect during the term of your use and for five years thereafter.

10. Warranties & Disclaimers

Our Services are provided "as is" without warranties of any kind, whether express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be secure, error-free, or uninterrupted.

11. Limitation of Liability

To the fullest extent permitted under Polish law, Loonis is not liable for any indirect, incidental, special, or consequential damages. Our total liability under these Terms will not exceed PLN 400.

12. Indemnification

You agree to indemnify and hold harmless Loonis and its affiliates from any claims, losses, or liabilities arising from:

Your breach of these Terms;
Your use of the Services;
Your violation of applicable laws or third-party rights.

13. Changes to the Services

We may change or discontinue the Services at any time without notice. If you continue to use the Services after changes become effective, you accept the revised Terms.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of Poland. Any disputes will be resolved by the competent courts in Poland.

15. Miscellaneous

15.1 Assignment

You may not assign your rights without our written consent. We may assign these Terms in the event of a merger or acquisition.

15.2 Severability

If any provision of these Terms is held invalid, the remainder will remain in full force.

15.3 Waiver

Failure to enforce any part of these Terms is not a waiver of our rights.

15.4 Entire Agreement

These Terms constitute the entire agreement between you and Loonis and supersede all prior agreements.
